Costaș, Negru & Asociaţii lawyers’ civil partnership has recently completed a project in which we provided legal assistance for the restructuring of the E. van Wijk group both in Romania and the Republic of Moldova, thus developing our practice in the corporate field (restructuring, acquisitions and mergers).
The E. van Wijk company was founded in 1949 by Ewout van Wijk Senior and first developed in the Netherlands (in Giessen), and after 1990 it expanded in the East, in Romania (Cluj-Napoca), Poland (Rzeszow), Ukraine (Lvov) and the Republic of Moldova (Chișinău). The entire activity of the group is carried out in the spirit of the company’s motto: E. van Wijk. As Promised.
Currently, as a result of the completed restructuring, the structure of E. van Wijk Group is bivalent, respectively:
Logistics: transport, warehousing and forwarding services through a fleet of over 335 trucks and more than 600 employees, provided by E. van Wijk Logistics BV, Sintra Hazeldonk BV, Himex Logistics BV (Netherlands), Logistics E. van Wijk SRL, Europa Expediție SRL (Romania), E. van Wijk & Moya Logistic LLC (Ukraine) and E. van Wijk Logistics Poland Sp. ZOO (Poland).
Automotive: importer and exclusive DAF dealer, service partner for Isuzu, Tatra Phoenix, VDL Bus & Coach, with more than 750 employees of companies from Romania, Ukraine and the Republic of Moldova.
The Logistic E. van Wijk SRL company has now become the main pivot of the activity of E. van Wijk Group in Romania, while the company EVW Holding SRL has been taken over by one of the former shareholders of the company and will continue its activity independently.
Within complex transactions, which were initiated in 2018 and completed in 2019, the company’s lawyers have managed – from the perspective of transaction lawyers – the entire procedure of drawing up and negotiating a Framework Agreement, implementing asset transfers and transfers of shares from the roadmap agreed upon by the actors of the transaction, as well as the carrying out of the formalities before the Trade Register. The legal services provided by the Costaș, Negru & Asociaţii lawyers covered a wide range of problems, including choosing the optimal tax solutions, evaluating and securing real estate transactions, assessing and managing the risks associated with the transfer operations, managing the inherent challenges of cross-border transactions.
